SECTION II: OBJECT OF THE CONTRACT

II.1) DESCRIPTION

II.1.5) Short description of the contract or purchase(s):

The provision of a range of housing and accommodation services to occupiers including tenants and leaseholders of accommodation owned by Ealing Council (the Council). The successful bidders/partners will be required to provide repairs and maintenance services and housing management (tenancy services) to Council owned homes and the surrounding estates for the duration of the Contract (see below). The Council anticipates that the services will include. — Housing and estate management, — Estate Cleansing and Grounds Management, — Repairs and maintenance (including temporary accommodation and hostels), — Specification to the Council of major/capital works programmes, — Management and procurement of capital works programmes, — Rent collection and arrears management, — Leasehold management, — Resident participation, — Management of non-residential assets. The Council seeks partners to deliver these services (the Services) under three area based contracts, which relate to three individual lots. The current number of homes within each of those areas, defined by whether they are leasehold or tenanted, is as follows: Ealing Area (2117 Leaseholder), (6910 Tenant), (9027 Total). Northolt Area (2008 Leaseholder), (4197 Tenant), (6205 Total). Southall Area (754 Leaseholder), (1900 Tenant), (2654 Total). Total (4879 Leaseholders), (13007 Tenant), (17886 GRAND TOTAL). The contractors will be required to provide these services to any new or additional Council owned homes built or acquired during the term of the contract. 70 new council owned homes should be completed in Northolt and a further 8 in Ealing prior to the commencement of the contract. Resident Choice: The contracts will provide leaseholders and tenants who are dissatisfied with the bidder/provider of the lot they reside in, with the opportunity to obtain the Services from another bidder/provider of one of the other lots, subject to clear contractual conditions. The provision of the Services to each area will be the responsibility of one successful bidder/partner and the Council anticipates that it will appoint 2 or 3 successful bidders/partners across the 3 areas. Bidders may be invited to submit tenders for more than one area (Lot) with a requirement that one of those Lots is the Southall area. It should be noted that contract award will be limited to two contracts per bidder, and that under these circumstances there would be a requirement for one of the contracts to be for the Southall Area. The council anticipates that it will enter into a contract with each successful bidder/partner for a term of 10 years, subject to the operation of a break clause, at the Council's option, after 5 years (the Contract). SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION

III.1) CONDITIONS RELATING TO THE CONTRACT

III.1.1) Deposits and guarantees required:

The contracting authority reserves the right to require deposits, guarantees, bonds or other forms of appropriate security.

III.1.2) Main financing conditions and payment arrangements and/or reference to the relevant provisions regulating them:

To be determined in the invitation to tender documents.

III.1.3) Legal form to be taken by the group of economic operators to whom the contract is to be awarded:

The contracting authority reserves the right to require groups of contractors to take a particular legal form or to require a single contractor to take primary liability or to require that each party undertakes joint and several liability irrespective of the form of vehicle to be established.

III.1.4) Other particular conditions to which the performance of the contract is subject:

Yes. To be set out fully in the invitation to tender documents. Resident Choice: the contracts will provide leaseholders and tenants who are dissatisfied with the bidder/provider of the lot they reside in, the opportunity to obtain the Services from another bidder/provider of one of the other lots, subject to clear contractual conditions. Tenant Management Organisations: Under English law tenants of council owned homes are in certain circumstances entitled to assume responsibility for the management of homes in their locality. Regeneration: A number of properties in each of the three lots have been identified for regeneration , consequently the number of properties in each area may reduce over the life of the contract. The projected number of homes that may come out of the contract over the period of the contract will be referenced in the supporting documentation. Contract failure: In the unlikely event that a provider of a particular lot fails to deliver services satisfactorily and the relevant contract is terminated then the Council anticipates it will award all or part of that lot to one or more of the providers of the other lots. The Council's Invitation To Tender will consequently require that bidders provide a financial submission which deals with this eventuality. The Council may voluntarily elect to end the Contracts from their 5th Anniversary.

III.2) CONDITIONS FOR PARTICIPATION

III.2.1) Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers:

Information and formalities necessary for evaluating if requirements are met: (1) All candidates will be required to produce a certificate or declaration demonstrating that they are not bankrupt or the subject of an administration order, are not being wound-up, have not granted a trust deed, are not the subject of a petition presented for sequestration of their estate, have not had a receiver, manager or administrator appointed and are not otherwise apparently insolvent. (2) All candidates will be required to produce a certificate or declaration demonstrating that the candidate, their directors, or any other person who has powers of representation, decision or control of the candidate has not been convicted of conspiracy, corruption, bribery, or money laundering. Failure to provide such a declaration will result in the candidate being declared ineligible and they will not be selected to participate in this procurement process. (3) All candidates will be required to produce a certificate or declaration demonstrating that they have not been convicted of a criminal offence relating to the conduct of their business or profession. (4) All candidates will be required to produce a certificate or declaration demonstrating that they have not committed an act of grave misconduct in the course of their business or profession. (5) All candidates must comply with the requirements of the State in which they are established, regarding registration on the professional or trade register. (6) Any candidate found to be guilty of serious misrepresentation in providing any information required, may be declared ineligible and not selected to continue with this procurement process. (7) All candidates will have to demonstrate that they are licensed, or a member of the relevant organisation, in the State where they are established, when the law of that State prohibits the provision of the services, described in this notice, by a person who is not so licensed or who is not a member of the relevant organisation. (8) All candidates will be required to produce a certificate or declaration demonstrating that they have fulfilled obligations relating to the payment of social security contributions under the law of any part of the United Kingdom or of the relevant State in which the candidate is established. (9) All candidates will be required to produce a certificate or declaration demonstrating that they have fulfilled obligations relating to the payment of taxes under the law of any part of the United Kingdom or of the relevant State in which the economic operator is established. In accordance with Articles 45 to 50 of Directive 2004/18/EC and Regulations 23 to 25 of the Public Contracts Regulations 2006 and as set out in the pre-qualification questionnaire which is available from the address in section I1.

III.2.2) Economic and financial capacity:

Information and formalities necessary for evaluating if requirements are met: (1) All candidates will be required to provide a reference from their bank. (2) All candidates will be required to provide evidence of relevant professional risk indemnity insurance. (3) All candidates will be required to provide a statement, covering the 3 previous financial years including the overall turnover of the candidate and the turnover in respect of the activities which are of a similar type to the subject matter of this notice. (4) All candidates will be required to provide statements of accounts or extracts from those accounts relating to their business. In accordance with Article 47 of Directive 2004/18/EC and Regulation 24 of the Public Contracts Regulations 2006 and as set out in the pre-qualification questionnaire which is available from the address in section I1. Minimum level(s) of standards possibly required: As set out in the pre-qualification questionnaire.

III.2.3) Technical capacity:

Information and formalities necessary for evaluating if requirements are met: (1) A statement of the candidate's average annual number of staff and managerial staff over the previous 3 years. (2) Details of the educational and professional qualifications of their managerial staff; and those of the person(s) who would be responsible for providing the services or carrying out the work or works under the contract; (3) All candidates will be required to provide certification from an independent body attesting conformity to environmental management standards in accordance with the Community Eco-Management and Audit Scheme (EMAS); or the European standard BS EN ISO 14001. (4) All candidates will be required to provide certification drawn up by an independent body attesting the compliance of the economic operator with quality assurance standards based on the relevant European standards. (5) Samples, descriptions and/or photographs, the authenticity of which must be certified if the contracting authority so requests. (6) A statement of the principal goods sold or services provided by the supplier or the services provider in the past 3 years, detailing the dates on which the goods were sold or the services provided; the consideration received; the identity of the person to whom the goods were sold or the services were provided. (7) A check may be carried out by the contracting authority or by a competent official body of the State in which the candidate is established, to verify the technical capacity of the candidate; and if relevant, on the candidates study and research facilities and quality control measures. (8) A statement of the candidate's technical facilities; measures for ensuring quality; and their study and research facilities. (9) An indication of the proportion of the contract which the services provider intends possibly to subcontract. (10) A statement of the technicians or technical services available to the candidate to carry out the work under the contract; or be involved in the production of goods or the provision of services under the contract; particularly those responsible for quality control, whether or not they are independent of the candidate. (11) A statement of the tools, plant or technical equipment available to the service provider or contractor for carrying out the contract. (12) A list of works carried out over the past 5 years, detailing the value of the consideration received; when and where the work or works were carried out; and whether they were carried out according to the rules of the trade or profession and properly completed. If by midnight at the end of the second working day of the ten day standstill period the London Borough of Ealing receives a request in writing from a candidate as to why it was not successful the London Borough of Ealing is required to provide additional information to the candidate. That information must be provided at least three working days before the expiry of the 10 days' standstill period (though the standstill period may be extended if it is not possible to provide the information in time).
