Description
Manchester City Council ('the Council') is looking to procure contracts for Royal Mills Commercial Estate. This requirement is split into 3no. Lots: (1) Property Management, (2) Lettings (Real Estate Agency Services) and (3) Lease Consultancy.
Royal Mills Commercial Estate comprising of Royal Mill, Paragon Mill, Old & New Sedgwick Mills, Fairbairn Building, Nuovo A & Nuovo B was purchased by Manchester City Council in 2017 as part of the wider Ancoats Estate acquisition from Homes England. In 2019, a further acquisition was made by the Council of the remaining commercial long leasehold within Old & New Sedgwick, namely the Courtyard aka the Business Centre.
Lease structure:
- Freehold: MCC
- Headlease (999 years): RM Developments Ltd
- Commercial Lease (998 years): MCC
- Royal Mill Business Centre Lease (150 years): MCC
- Numerous commercial sub-leases from 2-25 years
The Estate is a mixed-use development of both refurbished former mill buildings and new build properties. The Services to be provided are in respect of the Commercial elements of the Properties only.
The maximum estimated value of the Contract over its maximum possible term is £420,000 (inclusive of VAT).
The estimated split across the Lots are as follows:
Lot 1 - Property Management - £300,000 (incl. VAT)
Lot 2 - Lettings (Real Estate Agency Services) - £60,000 (incl. VAT)
Lot 3 - Lease Consultancy (including Lease Renewals and Open Market Rent Reviews) - £60,000 (incl. VAT)
Suppliers should note that this is only an estimate to give Suppliers an idea of the potential scale of the opportunity. No guarantee is given as to the actual value of the contract.

It is envisaged that the four (4) highest scoring Applicants for Lot 1 will be shortlisted to be taken through to the ITT Stage

It is envisaged that one (1) supplier will be appointed to this Lot following completion of the ITT Stage and ultimate award of the Contract

It is envisaged that the four (4) highest scoring Applicants for Lot 3 will be shortlisted to be taken through to the ITT Stage
It is envisaged that one (1) supplier will be appointed to this Lot following completion of the ITT Stage and ultimate award of the Contract
Please note: Applicants may be shortlisted across one, two or all Lots where they meet the necessary requirements. Where an Applicant is shortlisted across multiple Lots, they will be treated as an individual Applicant for each Lot in relation to the envisaged 4no. for each Lot.

The Managing Agent will provide a comprehensive property and facilities management service across the portfolio, including maintaining property records, undertaking inspections, identifying issues and making recommendations to the Client.
The Managing Agent will be expected to provide proactive operational, financial, compliance, tenant engagement and asset management services aimed at protecting and enhancing the value, performance and income generation of the properties.

The Property Agent will provide a full commercial agency service for the disposal and letting of units within the properties, with the objective of maximising occupancy, rental income and asset performance.
The Property Agent will be expected to deliver a proactive commercial agency service that drives occupancy, secures optimum leasing outcomes and supports the long-term performance and value of the properties.

The Property Agent will provide a comprehensive lease advisory service across the property portfolio, including the management of lease renewals, open market rent reviews and break options.
The Property Agent will be expected to deliver a proactive lease advisory service that optimises income, protects asset value and secures the best commercial outcomes for the Client.

Legal and financial capacity conditions of participation

Applicants must demonstrate sufficient economic and financial standing to perform the Contract.
The Authority will assess:
- Financial viability based on submitted accounts and/or financial information.
- Appropriate levels of insurance
- Any minimum financial thresholds set out in the procurement documents.
Further details of the assessment methodology and evidence requirements are contained within the tender documents.
In applying the conditions of participation relating to financial standing, the Council will exercise its discretion, in accordance with the Procurement Act 2023 and Procurement Regulations 2024, to determine whether a Tenderer's economic and financial standing is suitable.
The Council's assessment will be undertaken on a proportionate and objective basis, having regard to:
- the subject matter, value, complexity and risk profile of the Contract(s);
- the duration of the Contract(s) and any associated financial exposure;
- the information provided by the Applicant in response to the ITP; and
- other relevant information lawfully available to the Authority, including the outcomes of financial checks and analyses described in the ITP
No single element of the financial assessment (including any individual financial ratio, credit indicator, or accounting metric) will necessarily be determinative. The Council reserves the right to take a holistic view of an Applicant's financial standing and its suitability.
The Council may determine that an Applicant satisfies the conditions of participation relating to financial standing where, in the Council's reasonable opinion, the Applicant demonstrates sufficient financial resilience, stability and capacity to perform the Contract, even where:
- individual financial ratios fall outside benchmark ranges;
- there are year‑on‑year fluctuations explained by market conditions, investment activity or corporate restructuring; or
- alternative evidence appropriately mitigates identified financial risks
Conversely, the Council may determine that an Applicant does not satisfy the conditions of participation where the overall assessment indicates an unacceptable level of financial risk.

Suppliers must demonstrate that they have relevant experience. This will be assessed in line with the information and scoring methodology found in the 'Award Criteria' section within the Invitation to Participate document.
A scored criteria is being utilised on the 'Relevant experience and contract examples' section of the PSQ, suppliers should read the 'Award Criteria' section and the PSQ to understand how to ensure compliance with this section.
Failure to follow the instructions may lead to the Supplier's application being excluded from the procurement.
For consortium bids involving more than two parties, three relevant contract examples of a similar nature and value to this contract opportunity should be provided covering the principal members of the consortium. Where this is not possible (e.g. if the consortium is newly formed or a special purpose vehicle is to be created for the contract), three separate examples should be provided between the principal member(s) of the proposed consortium or members of the special purpose vehicle or sub-contractors (three examples are not required from each member).
Conditions of Participation: Technical ability (Health & Safety Arrangements)
The answers provided in your Response will be evaluated on the basis of pass/fail. Suppliers who self-certify that they do not meet the requirements of this section will be excluded. The provision of insufficient or false information and/or any responses that leads the Council, acting reasonably, to conclude (considering the risk that the relevant answer concerns the Supplier's ability to properly perform the contract) that it would be inappropriate to select the Supplier on this occasion, will result in exclusion.
Exclusion grounds may apply at any point in the procurement process up to the award of contract.

This Procurement is being conducted in accordance with the Procurement Act 2023 and Procurement Regulations 2024, using the Competitive Flexible Procedure. The documentation published with this opportunity describes how the procurement will be conducted, including details of the associated procurement timetable and award criteria (for both participation and tender) and how to respond to this opportunity.
Suppliers are strongly encouraged to read the documentation provided on The Chest, including the appendices and all other documentation published as part of this Invitation to Participate and Invitation to Tender (draft) before preparing their submission. Failure to comply with the information in the documentation may result in exclusion from the Procurement and/or the rejection of any submission.
The process comprises an initial Invitation to Participate (ITP) stage which will require applicants to complete a Procurement Specific Questionnaire (PSQ), containing both pass/fail and scored elements.
Applicants will be ranked using the award criteria provided in the ITP and the highest scoring applicants for each individual Lot will be shortlisted. Shortlisted applicants will then be invited to an Invitation to Tender (ITT) stage which includes at least 1no. dialogue session/period. Following conclusion of the dialogue session/period, the ITT may be amended accordingly in line with the documentation forming this procurement exercise and any applicable procurement law (as previously highlighted). A final revised tender will then be sent out to those bidders shortlisted from Stage 1.
If applicants do not meet the requirements of the PSQ and/or are not shortlisted at Stage 1, they will not be invited to dialogue sessions or to provide a submission at final revised tender stage and will be notified that they have been unsuccessful as soon as practically possible after Stage 1 (ITP) has concluded.
