RM4S - LHC0150

Description

LHC Procurement Group Limited (LHCPG) is procuring the Refurbishment and Modernisation Scotland Framework Agreement (RM4S) on behalf of the Scottish Procurement Alliance (SPA).

LHCPG is acting as the Contracting Authority and central purchasing body for this procurement.

The Framework is being procured solely for use in Scotland and will provide eligible public sector organisations with a compliant and flexible route for the delivery of refurbishment, improvement, repair, maintenance and modernisation works, goods and associated services across residential and non-residential buildings.

The procurement is being conducted using the Open Procedure in accordance with the Procurement Act 2023 and the Procurement Regulations 2024. When awarding Call-Off Contracts, eligible Clients and Partners must also comply with the Framework Agreement, the applicable Call-Off procedure and any other procurement legislation applicable to them.

RM4S builds upon the existing Refurbishment and Modernisation (RM3) Framework and has been developed following market engagement with suppliers and public sector organisations.

Feedback received through that engagement has informed the scope, Workstreams, Lot structure, value bands and regional arrangements. The Framework comprises the following Workstreams and Lots:

Electrical Works, 500k and above

Each Lot is divided into five regional areas covering North Eastern Scotland, Highlands and Islands, Eastern Scotland, West Central Scotland and Southern Scotland. Bidders may apply for one or more Lots and regional areas in accordance with the Procurement Documents.

Subject to there being sufficient Qualifying Bidders, LHCPG will appoint no more than 10 Appointed Companies for each Lot and regional area. Any Micro and Small Enterprise Reserved Allocation forms part of, and is not additional to, that maximum.

LHCPG will first identify the 10 highest-ranked Qualifying Bidders. Where the applicable allocation is already achieved within those positions, the 10 highest-ranked Qualifying Bidders will be appointed without adjustment. Where it is not achieved, the highest-ranked remaining qualifying Micro Enterprises or Small Enterprises will be included as necessary, replacing the lowest-ranked selected Bidders not required to satisfy the allocation.

Any unfilled allocation will revert to the general ranking. The Framework will not operate a reserve list.

The Framework is structured to support participation from organisations of different sizes and capabilities through its Workstreams, value bands, regional areas and applicable Micro and Small Enterprise Reserved Allocations. All Bidders will remain subject to the same published qualification, compliance, quality, evaluation and appointment requirements.

RM4S is intended to support the delivery of high-quality and compliant solutions, sustainable supply chains, environmental improvement, social value, community benefits, Fair Work and proportionate innovation. Detailed technical requirements, eligibility provisions, award criteria, appointment methodology and Call-Off procedures are set out in the Procurement Documents.

Description of risks to contract performance

The following known risks may jeopardise the satisfactory performance of the Framework or Call-Off Contracts if they materialise and, because of their nature or uncertainty, cannot be fully addressed in the Framework as awarded:

a. material changes to legislation, regulation, statutory guidance, government policy, building standards, fire safety requirements, product standards, safety requirements or other mandatory requirements affecting the goods, works or services;

b. new or materially changed decarbonisation, energy-efficiency, environmental, net-zero or sustainability requirements affecting specifications, materials, delivery methods, reporting or compliance;

c. material changes to the lawful availability, certification, accreditation, regulatory status or technical acceptability of required products, components or materials;

d. exceptional supply-chain disruption or shortages materially affecting the availability of essential products, materials, components or specialist resources;

e. new or materially changed mandatory digital, information-management, performance-monitoring or reporting requirements;

f. material changes to statutory funding or compliance conditions directly affecting programmes delivered through the Framework;

g. material changes in demand, scope, delivery requirements or programme timing arising directly from the risks described above; and

h. unforeseen procurement, mobilisation or market disruption affecting the establishment of a replacement arrangement, where this could create a material interruption to compliant access to the goods, works or services covered by the Framework.

If a stated known risk materialises otherwise than as a result of an act or omission of LHCPG or the relevant supplier, LHCPG may consider modifying the Framework only where all applicable requirements of section 74 and Schedule 8 of the Procurement Act 2023 are satisfied.

Any modification must go no further than necessary to address the materialised risk. LHCPG must consider whether awarding a new contract would provide better value for money and whether modification, rather than a new procurement, is in the public interest. Any modification must not increase the estimated value by more than the applicable statutory limit, alter the overall nature of the Framework or extend beyond what is necessary to address the risk. It will also be subject to applicable governance, approval, record-keeping, transparency and notice requirements.

Identification of these risks does not guarantee that the Framework will be modified and does not create a general right to extend its term or increase its scope or value

Justification for not publishing a preliminary market engagement notice

A separate UK2 Preliminary Market Engagement Notice was not published. Advance notice of the proposed framework was provided through a Prior Information Notice published on Public Contracts Scotland (PCS) and transferred to Find a Tender:

FTS notice: 2026/S 000-020262

PCS reference: MAR551114

Preliminary market engagement was subsequently undertaken by the Scottish Procurement Alliance on behalf of LHC Procurement Group through three in-person sessions with existing RM3 suppliers, other suppliers interested in RM4S, and SPA Partners as existing or potential framework users.

The sessions gathered feedback on the existing framework, Partner requirements, supplier experience, proposed scope, workstreams, lot structure, value bands and estimated framework value. This feedback informed the development of the RM4S scope, structure and procurement documents.

As advance notice had been published and preliminary market engagement completed, a separate UK2 notice was not published.
